LA 225 Business Organizations Course Objectives:

Students will learn:

  1. How a business is created and terminated.
  2. How businesses are structured:
    • Why a business is structured as a sole proprietorship;
    • Why a business is structured as a partnership;
    • Why a business is structured as a limited partnership;
    • Why a business is structured as a corporation;
    • Why a business is structured as a joint venture.
  3. The advantages and disadvantages of the various business structures:
    • A comparison of a sole proprietorship to a partnership to a corporation:
      • Liability of the owners 
  4. How partnership agreements are formed.
  5. How bankruptcy affects different business organizations:
    • The effect of the automatic stay, 11 U.S.C. 362;
    • The effect of the discharge provisions of the Bankruptcy Code, 11 U.S.C. 727 and 523;
    • What impact the exemptions have on the type of business organization which is used.
  6. How taxation affects the decision as to which form of business to use.
  7. How laws govern employment.
  8. How laws govern agency relationships.
