LA 137 Contract and Commercial Law Course Objectives:

Within the contract and commercial law course, students will learn the following:

  1. How the Uniform Commercial Code is structured and applied.
  2. How contracts are formed and what essential elements they contain, including a study of the following:
    • The offer and the elements of an offer;
    • The acceptance and the elements of an acceptance;
    • The meaning of the term "consideration" and the elements of that term;
    • The meaning of other aspects of contract law, including genuine assent, issues of capacity, issues of illegality, proper legal form with respect to contracts, rights of third parties.
  3. The drafting of a contract.
  4. Remedies that are available when contracts are breached and how these may be invoked.
